These Terms of Service (“Terms”) govern access to and use of the OrderMint website and services. By accessing our website, communicating with us, or using our services, you agree to be bound by these Terms.

1. Definitions
“OrderMint,” “we,” “us,” or “our” refers to OrderMint.
“Client” refers to any business entity that purchases or uses OrderMint services.
“Services” refers to online ordering, website, and related digital services provided by OrderMint.
“Website” refers to OrderMint’s website and related online properties.
2. Services Overview
OrderMint provides digital services for restaurants, including but not limited to:
Online ordering system setup and configuration
Menu setup and management
Ordering page customization and branding
Website creation and management
Optional add-ons such as loyalty programs, mobile applications, and marketing services
Services are provided according to the plan and add-ons selected by the Client and are further governed by a separate Service Agreement.
3. Eligibility & Business Use
OrderMint services are intended for business use only. By using our services, you represent that:
You are acting on behalf of a business entity
You have authority to bind that business
All information provided is accurate and current
4. Acceptance of Terms (Clickwrap Consent)
By accessing the OrderMint website, submitting a form, creating an account, onboarding for services, or checking a box indicating acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the OrderMint Privacy Policy.
Where a checkbox or similar acceptance mechanism is presented, acceptance of these Terms is required before services are provided.
If you are accepting these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
5. Service Agreement Governs
Use of OrderMint services is subject to acceptance of a separate Service Agreement.
In the event of any conflict between these Terms and the Service Agreement, the Service Agreement shall control.
6. Client Responsibilities
Clients are responsible for:
Providing accurate business, menu, and branding information
Maintaining the accuracy of content displayed through OrderMint services
Ensuring compliance with applicable laws related to their business operations
Providing materials and approvals in a timely manner
OrderMint is not responsible for delays caused by incomplete or inaccurate Client materials.
7. Payments & Billing
Services are billed on a subscription basis unless otherwise stated
Setup fees and monthly fees are disclosed during onboarding or purchase
Fees are billed in advance
Failure to pay may result in suspension or termination of services
All payment processing is handled by third-party payment providers selected by the Client.
8. Third-Party Platforms
OrderMint services may rely on third-party platforms, including hosting providers, payment processors, SMS or email providers, and ordering or loyalty technology platforms.
OrderMint is not responsible for outages, errors, or disruptions caused by third-party services.
9. Data Ownership
Clients retain full ownership of their customer and order data, as outlined in the Service Agreement.
OrderMint accesses and processes such data solely for the purpose of providing the Services and does not sell Client or customer data.
10. Communications (Email, Phone, SMS)
By communicating with OrderMint or providing contact information, Clients consent to receive service-related communications.
OrderMint may contact businesses via email, phone, or SMS where legally permitted. Message frequency may vary. Message and data rates may apply.
Recipients may opt out of SMS communications by replying STOP or by contacting OrderMint directly. Consent to receive communications is not a condition of purchasing services.

11. Intellectual Property
All website content, branding, logos, software, and materials provided by OrderMint are the property of OrderMint unless otherwise stated.
Clients retain ownership of their own branding, menus, and content provided to OrderMint.
12. Suspension & Termination
OrderMint may suspend or terminate access to services if:
Fees remain unpaid
These Terms or the Service Agreement are violated
Use of services creates legal, technical, or operational risk
Clients may cancel services in accordance with the Service Agreement.
13. Disclaimer of Warranties
Services are provided on an “as is” and “as available” basis.
OrderMint makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service.
14. Limitation of Liability
To the fullest extent permitted by law:
OrderMint shall not be liable for indirect, incidental, or consequential damages
OrderMint shall not be liable for lost revenue, data loss, or business interruption
Total liability shall not exceed the amounts paid by the Client as defined in the Service Agreement
15. Indemnification
Clients agree to indemnify and hold harmless OrderMint from claims arising out of:
Client-provided content
Client business operations
Client misuse of the Services
Client violations of applicable laws
16. Modifications to Services or Terms
OrderMint may update services, features, or these Terms with notice. Continued use of services constitutes acceptance of updated Terms.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United States of America, without regard to conflict of law principles.
18. Entire Agreement
These Terms, together with the Privacy Policy and Service Agreement, constitute the entire agreement between OrderMint and the Client regarding website and service use.
